Terms of Service

Please read these Terms of Service carefully before using the JARAI Media Studio platform ("the Service"). By accessing or using the Service, you agree to be bound by these terms. If you do not agree, do not use the Service.

1. The Service

JARAI Media Studio Ltd ("JARAI", "we", "us", "our"), a company registered in England and Wales, provides an autonomous AI media production and distribution platform through jarai.studio and associated APIs (the "Service"). The Service enables users to configure, produce, distribute, and optimise media content across multiple platforms using artificial intelligence.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using JARAI on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms and that the organisation accepts these terms.

3. Account registration

You must register for an account to use the Service. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately at security@jarai.studio if you suspect unauthorised access to your account

We reserve the right to suspend or terminate accounts that provide false information or that are inactive for extended periods.

4. Plans, billing, and cancellation

Available plans

JARAI offers several subscription plans, including a free Explorer tier, as described on jarai.studio. Plan details, features, and pricing are subject to change with 30 days' written notice to existing subscribers.

Billing

Paid plans are billed monthly or annually in advance. By selecting a paid plan, you authorise us to charge your payment method on each billing cycle. Payments are processed by Stripe, Inc. All prices are exclusive of VAT where applicable.

Free trial

New paid plan subscriptions include a 14-day free trial. You will not be charged during the free trial period. If you cancel before the free trial ends, you will not be charged. If you do not cancel, your subscription will begin automatically at the end of the trial.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds or credits for unused subscription time, partial months, or unused AI budget.

Failure to pay

If a payment fails, we will notify you and attempt to retry the charge. If the payment remains outstanding after reasonable notice, we may suspend or terminate your access to the Service. Reactivating a suspended account may require payment of any outstanding balance.

5. Your content and intellectual property

Your ownership

You retain full ownership of all content you upload, all production configurations you create, and all media assets produced by the Service on your behalf ("Your Content"), subject to any rights held by third parties in underlying source materials you provide.

Licence to JARAI

You grant JARAI a limited, worldwide, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to provide the Service to you. This licence terminates when your account is closed and Your Content has been deleted. We do not use Your Content to train AI models.

Your responsibility

You are solely responsible for Your Content and for ensuring that it complies with applicable laws, platform terms of service, and third-party intellectual property rights. JARAI does not review content before it is produced or published in Autonomous mode.

6. AI-generated content

The Service uses AI models to generate media content on your behalf. You acknowledge that:

  • AI-generated content may contain inaccuracies, hallucinations, or material that is not suitable for all audiences or purposes
  • You are responsible for reviewing AI-generated content before publication in Controlled mode, and for all content that passes quality gates in Autonomous mode
  • Legal frameworks around the intellectual property status of AI-generated works are evolving in the UK and internationally. JARAI makes no representations about the copyright ownership of AI-generated content in any jurisdiction
  • You should seek independent legal advice if the IP status of AI-generated content is material to your use case (e.g. stock marketplace submissions, copyright registration)

7. Acceptable use

You must not use the Service to:

  • Generate, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or that infringes any third-party rights
  • Violate the terms of service, community guidelines, or content policies of any connected platform (YouTube, TikTok, Spotify, Instagram, and others)
  • Produce or distribute spam, misleading content, or content designed to deceive or defraud
  • Impersonate any person, organisation, or brand without authorisation
  • Attempt to circumvent rate limits, usage quotas, quality gates, or any other technical restriction of the Service
  • Resell, sublicence, or provide access to the Service to third parties without our prior written consent
  • Use the Service in a way that could damage, disable, or impair the platform or its infrastructure

We reserve the right to suspend or terminate accounts that violate this policy, without prior notice, and to report illegal activity to relevant authorities.

8. Third-party platforms

The Service connects to third-party platforms (YouTube, TikTok, Spotify, Instagram, and others) via their respective APIs. You are responsible for ensuring your use of connected platforms complies with their terms and policies.

JARAI is not responsible for the availability, performance, or actions of third-party platforms. Changes to third-party APIs or terms of service may affect the Service's functionality. We will endeavour to maintain integrations but cannot guarantee uninterrupted compatibility with any specific third-party platform.

9. Availability and service levels

We aim to provide a reliable and highly available service but do not guarantee uninterrupted availability. Planned maintenance will be notified in advance where operationally possible. Service level agreements (SLAs) with uptime commitments and credit provisions are available on the Scale plan (£1,999/month) only. Plans below Scale do not carry SLA commitments.

10. JARAI intellectual property

JARAI and its underlying technology — including the production pipeline architecture, AI model selection logic, platform integrations, and all platform software — are the exclusive intellectual property of JARAI Media Studio Ltd. Nothing in these terms transfers any JARAI intellectual property rights to you, except the limited licence to use the Service as described herein.

11. Limitation of liability

To the maximum extent permitted by applicable law:

  • JARAI's total aggregate liability to you for any claim arising under or in connection with these terms is limited to the fees you have paid to JARAI in the 12 months immediately preceding the claim
  • JARAI is not liable for any indirect, consequential, incidental, punitive, or special damages, including loss of revenue, loss of profits, loss of data, or loss of business opportunity, however caused and regardless of the theory of liability
  • JARAI is not liable for the actions, inactions, or terms of third-party platforms, AI model providers, or payment processors

Nothing in these terms limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by our negligence; or (c) any other liability that cannot be excluded or limited by English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless JARAI, its directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) Your Content; (b) your use of the Service; (c) your breach of these terms; or (d) your violation of any applicable law or third-party rights.

13. Termination

Either party may terminate the contract at any time. We may suspend or terminate your account immediately and without notice if you materially breach these terms, engage in conduct that we reasonably believe poses a risk to the Service or other users, or fail to pay fees when due.

On termination, your right to access and use the Service ceases immediately. We will retain and then delete Your Content in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Sections 5, 10, 11, 12, and 15) will survive.

14. Changes to these terms

We may update these terms from time to time to reflect changes to the Service, applicable law, or our business. We will notify you of material changes by email and by a notice on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.

15. Governing law and dispute resolution

These terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these terms.
